The following Terms and Conditions are specifically for the Paid2Play timeline of GoWOLO. Users understand and agree that there may be imperfections during the Paid2Play Proof of Concept period and agree to assist GoWOLO in identifying suggested areas of improvement and enhancements for use of the platform. All information is strictly confidential and may not be shared without the express, written permission of GoWOLO Enterprises Compliance Officer.

Terms of Use

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the GoWOLO Global Enterprises Social Media Platform.

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who wish to access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

Communications

By creating an Account on our service, you agree to subscribe to newsletters, marketing or promotional materials. However, you may opt out of receiving some, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

Purchases

If you wish to purchase any product or service made available through the Service ("Purchase"), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct, and complete.

The service may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

Verification

By utilizing GoWOLO Global Enterprises net’s services you agree to verify no more than a maximum of three (3) devices/IP addresses per license. Access with these devices is meant to cover the use of one (1) person per individual license. If additional user or device access is desired, please reach out to GoWOLO Global Enterprises net’s support team for additional licensing. Violation of these terms may result in the immediate ban of your account, and possible permanent termination in cases of repeated violations.

Availability, Errors, and Inaccuracies

We are constantly updating product and service offerings on the Service. We may experience delays in updating information on the Service and in our advertising on other web sites. Products or services may be mispriced, described inaccurately, or unavailable on the Service and we cannot guarantee the accuracy or completeness of any information found on the Service.

Contests, Sweepstakes and Promotions

Any contests, sweepstakes, or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms & Conditions. GoWOLO Global Enterprises has the right but not the obligation to monitor and edit all Content provided by users.

In addition, Content found on or through this Service are the property of GoWOLO Global Enterprises or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.

Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.

We reserve the right to refuse service, terminate accounts, remove, or edit content, or cancel orders in our sole discretion.

Payments Related Information

GoWOLO Global Enterprises may charge Users certain fees for the use of the Website and Services as a whole, or certain features of the Website / Services. You agree to pay any such fees, as may be applicable to the Services that You use. GoWOLO Global Enterprises will try to ensure that You are made aware of the applicability of any fees for a particular use of the Website / Services, as well as the amount of fees payable by You for any such use of the Website / Service. You agree that GoWOLO Global Enterprises may, at any time, charge, modify or waive fees required to use the Website. Your continued use of the Website / Services after such change in the fees will be considered to be Your acceptance of such changes, and the applicability of these Terms of Use to such changes.

You agree to provide correct and accurate financial information, such as credit/debit card details to the approved payment gateway or pre-paid payment instrument account details or net banking or UPI account details for availing Services on the Website. You shall not use the credit/debit card or pre-paid payment instrument or net banking details or UPI ID which is not lawfully owned by You, i.e., in any transaction, You must use Your own credit/debit card or pre-paid instrument account or net banking account or UPI ID.

The information provided by You will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation, or court order or in accordance with the terms of the Privacy Policy. You will be solely responsible for the security and confidentiality of Your credit/debit card details or pre-paid instrument account, or net banking details or UPI ID. GoWOLO Global Enterprises expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of Your credit/ debit card or pre-paid instrument account.

GoWOLO Global Enterprises may have existing arrangements with its banks, regarding limits on the amounts you can pay (if You are a buyer) or receive (if You are a seller) in the course of a single transaction. GoWOLO Global Enterprises will work towards ensuring that you are made aware of such limits if they may be applicable to You. However, GoWOLO Global Enterprises shall be under no liability whatsoever in respect of any loss or damage arising directly or indirectly out of the decline of authorization for any transaction, on account of You/cardholder having exceeded the pre-set limit mutually agreed by GoWOLO Global Enterprises with its bank from time to time.

For Your making payments for buying the Products on the Website, in addition to the Agreement(s), the terms and conditions of your bank, applicable financial institution and/or card issuing association may also be applicable to you. Your bank, financial institution or card issuing association may decline or prevent you from making electronic payments for buying the Products on Website and GoWOLO Global Enterprises does not control the same and shall be liable for the same.

User Obligations and Role Of GoWOLO Global Enterprises

Subject to compliance with the Agreement(s), GoWOLO Global Enterprises grants you a non-exclusive, non-sub-licensable, non-transferable, revocable, and limited right to access and use this Website and the Services provided therein.

You agree to use the Services, Website and the Content (as defined herein) provided therein only for purposes that are permitted by: (a) the Agreement(s) (including these Terms of Use); and (b) any applicable law.

You agree not to access (or attempt to access) the Website or Services by any means other than through the interfaces that are provided by GoWOLO Global Enterprises. You shall not use any deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or Content (as defined below), or in any way reproduce or circumvent the navigational structure or presentation of the Website, to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Website.

You hereby grant GoWOLO Global Enterprises a perpetual, non-revocable, worldwide, royalty-free and sub-licensable right and license to use, copy, distribute, display, publish, transmit, make available, reproduce, modify, adapt the User Content and create derivate works of the User Content. You represent and warrant that You own or otherwise control all of the rights to the User Content that You post or that You otherwise provide on or through the Website; and that, as at the date that the User Content is posted or submitted on the Website: (i) the User Content is accurate; (ii) use of the User Content You supply does not breach these Terms of Use; and (iii) that such User Content is lawful.

You agree, understand, and acknowledge that the Website is an electronic platform in the form of an electronic marketplace and an intermediary that provides an electronic venue where various Users may electronically meet and interact with each other to engage in commerce and transact. You further agree and acknowledge that GoWOLO Global Enterprises is only a facilitator and is not and cannot be a party to or control in any manner any advertisement, exhibition, making available, offer to sell or transactions of sale or purchase of Products on the Website. GoWOLO Global Enterprises is not the seller of the Products. Accordingly, any contract for the sale / purchase of Products on the Website is a bipartite contract between you and the sellers (if You are a buyer) or You and the buyer (if You are a seller).

GoWOLO Global Enterprises neither recommends you buy or sell any Products on the Website nor does GoWOLO Global Enterprises endorses any such Products and nor does GoWOLO Global Enterprises provide any guarantee, warranties or assurance with respect to the advertisement, exhibition, making available, offer to sell or transactions of sale or purchase of Products on the Website. Further, GoWOLO Global Enterprises does not guarantee, warranty, or provide any assurance on the behavior of any User of the Website including any guarantee, warranty, or assurance that any User (whether buyer or seller) will complete any transaction or act in a prudent manner.

When you use the Website and/or the Services You specifically undertake not to host, display, upload, modify, publish, transmit, update, or share any information or Content that:

•belongs to another person and to which the User does not have any right to;

•harms minors in any way;

•impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;

•threatens the unity, integrity, defense, security or sovereignty of the United States, friendly relations with foreign states or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting of any other nation;

•infringes any patent, trademark, copyright or other proprietary rights;

•contain software viruses or any other computer code, files or programs designed to interrupt destroy or limit the functionality of any computer resource;

•deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

•engage in any activity that interferes with or disrupts access to the Website or the Services (or the servers and networks which are connected to the Website);

•attempt to gain unauthorized access to any portion or feature of the Website, any other systems or networks connected to the Website, to any GoWOLO Global Enterprises server, or to any of the Services offered on or through the Website, by hacking, password mining or any other illegitimate means;

•probe, scan or test the vulnerability of the Website or any network connected to the Website, nor breach the security or authentication measures on the Website or any network connected to the Website.

You may not reverse look-up, trace or seek to trace any information on any other user, of or visitor to, the Website, or any other customer of GoWOLO Global Enterprises, including any GoWOLO Global Enterprises account not owned by You, to its source, or exploit the Website or Service or information made available or offered by or through the Website, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information, other than Your own information, as provided for by the Website;

•disrupt or interfere with the security of, or otherwise cause harm to, the Website, systems resources, accounts, passwords, servers or networks connected to or accessible through the Websites or any affiliated or linked sites;

•use the Website or Content for any purpose that is unlawful or prohibited by the Agreement, or to solicit the performance of any illegal activity or other activity which infringes the rights of GoWOLO Global Enterprises Ltd or other third parties;

•falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;

•violate any code of conduct or other guidelines, which may be applicable for or to any particular Service;

•violate any applicable laws or regulations for the time being in force within or outside the United States;

•violate the terms of the Agreement.

You shall use this Website, and any voucher/coupons purchased through it, for personal, non-commercial use only and shall not re-sell the same to any other person.You agree & promise that the product you are selling is original.You agree that you don’t use any of the product/ content disclosed on the website by copying the product/ content and using elsewhere to make either commercial or non-commercial transaction.Any purchase of the Products from the Website will be strictly for personal use of the User. The User hereby expressly agrees that any merchandize, or Services purchased by the User will not be sold, resold, bartered or in any way used for any commercial purposes or for profit. The User hereby acknowledges that the Products purchased are not transferrable to any third party for profit. Accordingly, GoWOLO Global Enterprises reserves the right to cancel any orders that classify as 'Bulk Order' as determined by GoWOLO Global Enterprises as per certain criteria.

Non-Disclosure and Confidentiality

THIS AGREEMENT (the "Agreement”) is entered into by and between GOWOLO GLOBAL ENTERPRISES and SECOND PARTY (the “Receiving Party”).

The Receiving Party hereto desires to participate in discussions regarding Ideas exchange, filing of Patents, Trademark, and unique designs along with Product clearance searches (the “Transaction”). During these discussions, Disclosing Party may share certain proprietary information with the Receiving Party. Therefore, in consideration of the mutual promises and covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” means any data or information that is proprietary to the Disclosing Party and not generally known to the public, whether in tangible or intangible form, in whatever medium provided, whether unmodified or modified by Receiving Party or its Representatives (as defined herein), whenever and however disclosed, including, but not limited to: (i) any marketing strategies, plans, financial information, or projections, operations, sales estimates, business plans and performance results relating to the past, present or future business activities of such party, its affiliates, subsidiaries and affiliated companies; (ii) plans for products or services, and customer or supplier lists; (iii) any scientific or technical information, invention, design, process, procedure, formula, improvement, technology or method; (iv) any concepts, reports, data, know-how, works-in-progress, designs, development tools, specifications, computer software, source code, object code, flow charts, databases, inventions, information and trade secrets; (v) any other information that should reasonably be recognized as confidential information of the Disclosing Party; and (vi) any information generated by the Receiving Party or by its Representatives that contains, reflects, or is derived from any of the foregoing. Confidential Information need not be novel, unique, patentable, copyrightable or constitute a trade secret in order to be designated Confidential Information. The Receiving Party acknowledges that the Confidential Information is proprietary to the Disclosing Party, has been developed and obtained through great efforts by the Disclosing Party and that Disclosing Party regards all of its Confidential Information as trade secrets.

Notwithstanding anything in the foregoing to the contrary, Confidential Information shall not include information which: a) was lawfully possessed, as evidenced by the Receiving Party’s records, by the Receiving Party prior to receiving the Confidential Information from the Disclosing Party; (b) becomes rightfully known by the Receiving Party from a third-party source not under an obligation to Disclosing Party to maintain confidentiality; (c) is generally known by the public through no fault of or failure to act by the Receiving Party inconsistent with its obligations under this Agreement; (d) is required to be disclosed in a judicial or administrative proceeding, or is otherwise requested or required to be disclosed by law or regulation, although the requirements of paragraph 4 hereof shall apply prior to any disclosure being made; and (e) is or has been independently developed by employees, consultants or agents of the Receiving Party without violation of the terms of this Agreement, as evidenced by the Receiving Party’s records, and without reference or access to any Confidential Information.

Disclosure of Confidential Information

From time to time, the Disclosing Party may disclose Confidential Information to the Receiving Party. The Receiving Party will: (a) limit disclosure of any Confidential Information to its directors, officers, employees, agents or representatives (collectively “Representatives”) who have a need to know such Confidential Information in connection with the current or contemplated business relationship between the parties to which this Agreement relates, and only for that purpose; (b) advise its Representatives of the proprietary nature of the Confidential Information and of the obligations set forth in this Agreement, require such Representatives to be bound by written confidentiality restrictions no less stringent than those contained herein, and assume full liability for acts or omissions by its Representatives that are inconsistent with its obligations under this Agreement; (c) keep all Confidential Information strictly confidential by using a reasonable degree of care, but not less than the degree of care used by it in safeguarding its own confidential information; and (d) not disclose any Confidential Information received by it to any third parties (except as otherwise provided for herein).

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos (excluding Content provided by users) contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions. The Content and the Marks are provided on the Site “AS IS” for your information and brand use only. Except as expressly provided in these Terms of Use, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to download or print a copy of any portion of the Content to which you have properly gained access solely for use in promoting your VIP brand. We reserve all rights not expressly granted to you in and to the Site, the Content, and the Marks.

Website Use – User Representations and Termination

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse all current or future use of the Site (or any portion thereof).We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Limitation of Liability

In no event shall GoWOLO Global Enterprises, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

DISPUTE RESOLUTION Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in United States, Georgia. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Site; (3) breach of these Terms of Use; (4) any breach of your representations and warranties set forth in these Terms of Use; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Site with whom you connected via the Site. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Independent Contractor Agreement

It is understood that the platform owner is not an employee or representative of GoWOLO Global Enterprises (“Corporation”); rather platform owner is an Independent Contractor (“Contractor”) with responsibility for their own business, products, services, subscribers and customers.

Method of Performing Services

Contractor will determine the method, details, and means of performing their platform services. The Corporation may not control, direct, or otherwise supervise Contractor's assistants or employees in the performance of those services. Contractor will supply all tools, equipment and supplies required to perform the services stated on their platform. Contractor agrees to hold Corporation free and harmless from all claims arising from negligent acts or omissions.

Code of Business Conduct

GoWOLO Global Enterprises (together with its subsidiaries, the “Company”) is committed to ethical business practices, and to full compliance with all applicable laws and regulations. This Code of Business Conduct and Ethics helps ensure compliance with legal requirements and our standards of business conduct. All Company contractors are expected to read and understand this Code of Business Conduct and Ethics, uphold these standards in day to day activities, comply with this and all other applicable policies and procedures, and ensure that all agents and contractors are aware of, understand and adhere to these standards.

The Company expects all contractors to exercise good judgment to ensure the safety and welfare of employees, agents and contractors and to maintain a cooperative, efficient, positive, harmonious and productive work environment and business organization.

It is the strict policy of the Company that no contractor or other party related to the Company may discuss confidential Company related information in internet forums, chat rooms, or social media sites.

Income and Earnings Disclaimer

GoWOLO Enterprises makes every effort to ensure that all the products and services presented on this website as well as in all other promotional materials, and their potential to earn income, are presented fairly and accurately. There is, however, no guarantee that you will make these levels of income or any income at all.

As with any business, individual results will vary greatly, and will be based on your individual capacity, business experience, knowledge, expertise, and level of desire, as well as your hard work and execution of your individual business strategies. There are no guarantees concerning the level of success you may experience.

There is also no assurance that examples of past earnings can be duplicated in the future. GoWOLO cannot and does not guarantee your future results and/or success. As with any business, there are unknown risks that can and may reduce the success you might experience and/or the revenues you might achieve.

You agree that GoWOLO is not responsible for the success or failure of your business decisions relating to and/or your use of GoWOLO’s platform, products and/or services. GoWOLO cannot and does not make any guarantees about your ability to get results or earn any money with GoWOLO’s programs, products and/or services.

Refund Policy
